Tata Sons' AGM Adjourned: Tata Sons' Annual General Meeting (AGM) has been postponed on Tuesday due to a lack of quorum. The possibility of the AGM being postponed had already been raised. Sources said the required number of members were not present, forcing the AGM to be postponed. Significantly, this is the first time in the last 100 years that Tata Sons has decided to postpone the AGM.

The AGM, scheduled to be held at 2:30 pm via video conferencing and audio-visual media, has been postponed due to a lack of quorum. According to sources, the issue arose due to existing regulatory restrictions regarding the representative to be nominated jointly by the Sir Ratan Tata Trust (SRTT) and the Sir Dorabji Tata Trust.

Who influenced the quorum of the AGM?

Due to regulatory restrictions issued by the Maharashtra Charity Commissioner, SRTT is currently unable to nominate a joint representative. According to Tata Sons' Articles of Association, a valid quorum requires the presence of at least five members, including the respective joint nominated representative. Therefore, the representative's absence affected the quorum for the AGM.

N Chandrasekaran's resignation

N Chandrasekaran resigned as chairman of Tata Sons on August 12th. However, he will remain in the position until February next year. Earlier in February this year, the board had postponed a decision on reappointing Chandrasekaran as chairman. N Chandrasekaran has been chairman since 2017.

AGM postponement is a rare occurrence

It's worth noting that the cancellation of an AGM is rare, and possibly the first such incident in Tata Sons' more than 100-year corporate history. The Indian Companies Act requires holding an AGM within a stipulated timeframe after each financial year. Generally, there's no provision for canceling it altogether. In exceptional circumstances, it can only be postponed or stayed by an order of a legal tribunal, such as the NCLT.

It is noteworthy that Tata Sons, established in 1917, has strictly adhered to corporate governance and regular annual meetings throughout its history. Even during major controversies, such as the Cyrus Mistry controversy, meetings have been held but never cancelled. If an AGM is officially cancelled due to legal or internal disputes, it is considered an unprecedented development in the group's history regarding shareholder rights and board decisions.
